This facility is available to the Members and the nomination form can be obtained from the Company. 7.20 Communication Half-yearly Report sent to each household of the Members Half-yearly Report was not sent to the Members Quarterly and half-yearly results Quarterly and half-yearly results of the Company were sent to the Stock Exchanges immediately after approval by the Board and published in The Financial Express (English) - Mumbai edition and Apala Mahanagar or Mumbai Lakshadweep (Marathi). The results were published in accordance with the guidelines of the Stock Exchanges. Details of compliance with the mandatory requirements and extent of compliance with non- mandatory requirements The Company complies with the following non-mandatory requirements: i) Reporting of the Internal Auditor to the Audit Committee ii) Unqualified Financial Statements 9. Role of the Company Secretary in overall governance process All the Directors have access to the suggestions and services of the Company Secretary | Secretarial Department in ensuring an effective functioning of the Board and its Committees. The Company Secretary administers, attends and prepares Minutes of the Board and the Committee proceedings in accordance with the statutory requirements as well as the norms of Corporate Governance. 10. Certification by Chief Executive Officer and Chief Financial Officer Mr P N Ogale, Managing Director and Mr S R Kalra, CFO, issued a certificate to the Board as prescribed under provisions of Regulation 17(8) of the SEBI (Listing Obligation and Disclosure Requirements) Regulations 2015. The said certificate was placed before the Board at the meeting held on April 22, 2016, in which the accounts for the financial year ended March 31, 2016 were considered and approved by the Board.
