During this period, the Members holding shares either in physical form or in demat form, as on the cut-off date of July 12, 2019, may cast their votes electronically. The remote e-voting module will be disabled by CDSL for voting thereafter. Once the vote on a resolution is cast by the Member, no change will be allowed subsequently. 9.3 The voting rights of the Members will be in proportion to their share of the paid-up equity share capital of the Company as on the cut-off date of July 12, 2019. 9.4 Nilesh A Pradhan and Co. LLP has been appointed as the Scrutiniser to scrutinise the remote e-voting and the voting process at the AGM in a fair and transparent manner. 9.5 The Scrutiniser will within a period not exceeding three working days from the conclusion of the e-voting period unblock the votes in the presence of at least two witnesses not in the employment of the Company and make a Scrutiniser’s Report of the votes cast in favour or against, if any, and forward it to the Chairman of the Company. 9.6 The results will be declared at or after the AGM. The results declared along with the Scrutiniser’s Report will be placed on www.amal.co.in, the website of the Company and on www.evotingindia.com , the website of CDSL within two days of passing of the resolutions at the AGM and will also be communicated to the BSE Ltd. 10. The facility for voting through ballot | polling paper will also be made available at the venue of the Annual General Meeting (AGM). The Members attending the meeting who have not already cast their vote through remote e-voting will be able to exercise their voting rights at the AGM. The Members who have already cast their votes through remote e-voting may attend the AGM, but will not be entitled to cast their vote again. 11. At the ensuing Annual General Meeting, Mr T R Gopi Kannan retires by rotation and being eligible, offers himself for reappointment. Mr T R Gopi Kannan has experience of 34 years in various capacities and is currently the Chief Financial Officer and Whole-time Director in Atul Ltd. Mr Gopi Kannan is a Fellow Member of the Institute of Chartered Accountants of India, the Institute of Cost and Management Accountants of India and the Institute of Company Secretaries of India and holds a postgraduate diploma in Management
