37 The said certificate was placed before the Board at the meeting held on April 22, 2021, in which the accounts for the year ended March 31, 2021, were considered and approved by the Board. 13. Certification by the Practicing Company Secretary The above report on Corporate Governance is given on voluntary basis as the Company is not mandatorily required to comply with the requirement in this regard. For this reason the certificate from the Practising Company Secretary is not obtained. 14. Declaration by the Managing Director In accordance with Schedule V of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 with the stock exchange, all the Directors and the Senior Management Personnel have, respectively, affirmed compliance with the Code of Conduct as approved and adopted by the Board.
